SaaS Agreement – FAQ

Templafy is a cloud-based template and document asset management system. It integrates into Microsoft Office 2016-2019, Office 365 Pro Plus with 2016 Apps, SharePoint Online for Office 365 and Google Drive.

Templafy has a rich set of features to help users easily generate new documents that are up to date with regards to Visual Identity, Corporate data, User data, Legal information and shared content. Templafy can manage templates and document assets from a central admin platform which means it is easy for Brand and Managers and Content Administrators to update templates and push out new digital identities throughout the entire organization.  

Templafy can be used in two different ways: VSTO Add-Ins (PC) or Web Add-Ins (PC, MacBook and Office Online).

VSTO Add-Ins: these are software components developed to extend the functionality of Microsoft Office applications (Word, Excel, Outlook, PowerPoint). These are installed directly onto the user’s machine.

Web Add-Ins: these are software components that extend the functionality of Microsoft Office applications (Word, Excel, Outlook and PowerPoint) by embedding web-based functionalities directly into the applications leveraging a web-based interface within Office. These are hosted on a web service.

Templafy is able to unify an organization’s entire content management IT infrastructures by integrating their external systems into their Templafy’s document workflows. These setups are what we refer to as Templafy Integrations.

In order to enable any of the available integrations, Templafy has created 4 different types of connectors where each one of them, addresses, or is used, in a specific part of the document workflow. In other words, connectors are the technical enablers for any integration to an external system to happen.

Templafy integrates to a myriad of external systems and differentiates between four types of connectors. Please refer to our Knowledge Base for more information regarding each connector.

Templafy is typically used for standard, generic content such as contract templates and brand-compliant slide decks that users generate and further build on.

We mainly see user personal data in the form of work-related information and basic contact details, such as what an email signature would contain.

From a privacy perspective, it is possible to restrict and govern the processing; the control is with appropriate customer admins.

Templafy primarily processes customer employee data, who are users of the services. However, customer admins may choose to give access to partners or involve other data subjects should they wish. e.g. through the available integrations.

Our contract includes specific provisions essential for the effective use of our SaaS solution, which are often missing in standard customer forms. It ensures that all aspects of our services are clearly defined and protected to minimize the risk of misunderstandings or gaps in coverage. Our contract is designed to be fair and balanced, addressing the needs and concerns of both parties, which helps foster a positive business relationship. Using our pre-drafted contract can save you time and resources, allowing for a quicker and smoother onboarding process. 

We commit to industry standard uptime of 99.5% and a tiered support structure; our uptime monitoring tracker showing current and historical uptime is available here. Aa a multi-tenant SaaS solution, all of our customers are on the same version of the platform. We cannot customize our SLA as we would not be able to scale our operations without uniformity across our entire customer base. 

We offer an industry standard IP indemnity protection for your use of the software. 

We offer standard rights to terminate for breach and bankruptcy. However, our pricing assumes fixed-term subscriptions, so we do not offer termination for convenience. Our pricing is based on a minimum committed term as we invest significant resources on the front-end of the contract to ensure successful deployment of the software.

We believe in our software and back it with our top-of-the-line customer success and technical support teams. We can perform technical scoping with our solutions engineers to ensure your systems are compatible with our software before you make a purchase decision.  

Templafy’s SaaS terms offer an equitable sharing of liability between the parties and the liability of each party should correlate directly to the value of the agreement between the parties. To achieve this goal, Templafy excludes indirect damages for both parties in all circumstances. In addition, Templafy’s mutual limitation of liability for direct damages in a contract is the fees paid by a customer in the twelve (12) months prior to the event giving rise to the liability. There are three exceptions to the direct damages limitation, namely: (i) either party’s fraud or willful misconduct, (ii) each party’s standard indemnification obligations, and (iii) breach of confidentiality.
